1. Acceptance and Scope

By accessing or using the Gryps website (https://gryps.trade) and its associated decentralized trading services (collectively, the "Services"), you ("User," "you," or "your") agree to be legally bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not access or use the Services.

These Terms govern your use of the Gryps platform, including any professional‑grade decentralized trading tools, non‑custodial trading, liquidity aggregation, cross‑chain execution features, analytics, and related content or interfaces provided.

2. Eligible Users

2.1 User Criteria

The Services are intended for use only by individuals and organizations who are at least 18 years old and who possess the capacity to form a legally binding contract under applicable law. By using the Services, you represent and warrant that you are not a citizen or resident in any jurisdiction where the use of decentralized crypto protocols, or the Services themselves, is illegal or restricted.

2.2 Jurisdictional Restrictions

Gryps is not available to "Restricted Persons"—including those who reside in, are citizens of, are incorporated in, or are located in countries or regions subject to embargoes, sanctions, or legal restrictions by the United States, the United Kingdom, the European Union, or any competent authority. Restricted countries include, but are not limited to, the OFAC‑sanctioned list of countries, United States, United Kingdom, Canada, North Korea, Iran, Syria, Cuba, Crimea, Myanmar, Donetsk, Luhansk, and any jurisdiction subject to broad economic sanctions.

Any attempt to circumvent these restrictions, including through the use of VPNs or proxy services, constitutes a breach of these Terms and will result in immediate termination of access.

3. Nature of Services; No Custody

3.1 Non‑Custodial Trading

Gryps is a non‑custodial platform. At no time does Gryps take possession, hold, or control your funds, private keys, or digital assets. All transactions are executed directly on blockchain networks, with user wallets remaining under sole user control.

You are solely responsible for all private keys, seed phrases, and access credentials related to your digital assets. Gryps cannot recover lost passwords or access credentials, nor does it have the ability to reverse or modify blockchain transactions.

3.2 Third‑Party Protocols and Integrations

The platform may route trades or connect users to third‑party decentralized protocols including, but not limited to, cross‑chain bridges, liquidity aggregators, and DEXs to furnish services. Such third‑party integrations are not owned or controlled by Gryps, and the platform assumes no liability for the performance, security, or compliance of such external services.

4. User Responsibilities

4.1 Account Security

You are solely responsible for the confidentiality and security of your wallet addresses, passwords, and security credentials. It is your responsibility to ensure that no unauthorized persons have access to your wallet. You are also responsible for all activity that occurs under your account, whether or not authorized by you. Should you become aware of any unauthorized use or suspicious activity, you must notify Gryps administrators immediately.

4.2 Regulatory Compliance

You are responsible for determining and complying with all laws and regulations applicable in your jurisdiction, including, but not limited to: tax obligations, KYC/AML requirements (where applicable), and crypto trading or derivatives regulations. Gryps does not provide legal, tax, or investment advice, nor does it guarantee that your use of the Services will be in compliance with any local law or regulation of your jurisdiction.

4.3 Proper Use and Conduct

You agree not to:

  • Use the Services for any unlawful or fraudulent purpose (including money laundering, terrorist financing, or market manipulation)
  • Interfere with, disrupt, or harm the integrity, security, or operation of the platform or any user’s experience
  • Upload or transmit viruses, code, or content designed to harm or exploit the Services or its users
  • Circumvent any technical or access‑control measures

Breach of these rules constitutes a material violation and will result in immediate account suspension or termination.

5. Risk Disclosures

5.1 Trading Risks

Trading digital assets, especially using leverage, liquidity aggregation, and cross‑chain protocols, entails substantial risk, including possible total loss of capital. Cryptocurrency markets are highly volatile. Past performance is not indicative of future results. You acknowledge that all trades undertaken using Gryps are at your sole and exclusive risk.

5.2 Smart Contract and Protocol Risks

You acknowledge and accept the inherent risks associated with smart contract vulnerabilities, protocol exploits, bugs, network congestion, and potential loss of funds due to code flaws or software failures. Gryps cannot verify the security or fitness for purpose of third‑party smart contracts or protocols accessed via the Services.

5.3 Third‑Party and Counterparty Risks

By utilizing liquidity pools, bridges, or trading through external protocols, you assume all risks associated with those third parties, including, but not limited to, exploits, insolvency, or material changes in protocol governance or economic structure.

5.4 Operational Risks

The platform may experience outages, slowdowns, or disruptions due to upgrades, network congestion, or extraordinary events (e.g., blockchain forks, denial‑of‑service attacks). Gryps is not liable for any losses resulting from such interruptions.

Digital assets and DeFi services are subject to evolving legal and regulatory frameworks across global jurisdictions. Regulatory changes or enforcement actions may adversely impact the availability, value, or legality of certain cryptoassets or features of the Services.

6. No Investment Advice; No Fiduciary Relationship

Nothing on the Gryps platform constitutes investment, tax, legal, or other professional advice, or a recommendation to buy, sell, or hold any asset. No fiduciary relationship exists between Gryps and its users.

7. Intellectual Property

7.1 Ownership

All content, software, user interfaces, trademarks, branding, and documentation provided on or through the Services, except as otherwise expressly noted, are the exclusive property of Gryps or their respective licensors.

7.2 License and Use Restrictions

Subject to compliance with these Terms, Gryps grants you a limited, non‑transferable, revocable license to use the platform for personal, non‑commercial purposes. You may not:

  • Copy, modify, distribute, sell, reverse‑engineer, or create derivative works of the platform or its components
  • Infringe upon the intellectual property rights or copyrights of Gryps or any third‑party provider
  • Use any Gryps trademark, logo, or proprietary graphic without explicit, prior written permission

7.3 Open Source Components

Some parts of the Services may leverage or incorporate open‑source code and libraries under their respective licenses. The use of such code is subject to the applicable open‑source licenses and does not transfer any intellectual property rights to you beyond the scope of those licenses.

8. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Gryps, its owners, developers, affiliates, partners, and service providers from any and all claims, losses, damages, liabilities, costs, or expenses (including attorneys' fees and costs) arising from your:

  • Breach of these Terms
  • Misuse or unauthorized use of the Services
  • Violation of applicable laws or regulations
  • Infringement of any third‑party rights

This indemnity survives the termination of your access to the Services.

9. Disclaimers and Limitation of Liability

9.1 "As Is," "As Available"

The Services are provided strictly “as is” and “as available,” with no warranties or guarantees of any kind—either express or implied—including but not limited to any warranty of merchantability, fitness for a particular purpose, compliance, or non‑infringement.

9.2 No Liability for Losses

Gryps, its developers, affiliates, and contributors, will not be liable to you or any third party for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages (including lost profits, data loss, or trading losses), whether in contract, tort, or otherwise, arising out of or in connection with your use or inability to use the Services, even if advised of the possibility of such damages.

To the maximum extent permitted by law, the total liability of Gryps and its affiliates under these Terms for any claim or series of related claims, regardless of form or cause, shall not exceed the greater of the amount you paid for use of the Services in the 12 months preceding the claim or one hundred US dollars ($100).

9.3 No Responsibility for Third Parties

Gryps assumes no liability for any actions, errors, omissions, or failures of third‑party protocols, platforms, or service providers with whom you interact via the Services.

10. Jurisdiction and Dispute Resolution

10.1 Governing Law

Unless mandatory consumer protection regulations in your country require otherwise, these Terms are governed by the laws of the jurisdiction in which the core development of Gryps is organized, without regard to conflict of law principles.

10.2 Dispute Resolution; Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Services must first be resolved through good‑faith negotiations between the parties. If resolution is not reached within 30 days, the dispute shall be settled by binding individual arbitration, using an internationally recognized arbitration center suitable for smart contract and cross‑border blockchain disputes. You and Gryps each waive the right to a jury trial and to participate in class actions or collective proceedings.

10.3 Specific Performance and Injunctive Relief

Nothing in this section prevents Gryps from seeking injunctive relief or urgent court remedies where permitted by law to prevent harm to its intellectual property or secure sensitive data.

10.4 Severability

If any provision in these Terms is found by a court or arbitrator to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

11. Account Suspension and Termination

11.1 User‑Initiated Termination

You may discontinue use of the Services at any time. Due to the non‑custodial structure, Gryps does not store centralized user accounts; termination typically involves ceasing interaction with the platform.

11.2 Platform Suspension or Termination

Gryps reserves the right to suspend, restrict, or terminate your access to all or any part of the Services at its sole discretion, with or without notice, particularly in cases of a breach, suspected illegal activity, or regulatory requirement. All provisions regarding intellectual property, disclaimers, risk disclosures, limitations of liability, and dispute resolution shall survive any suspension or termination.

12. Changes to Terms

Gryps may update these Terms at any time, with or without notice. Continued use after any such changes constitutes your acceptance of the new terms. You are responsible for reviewing the latest version of these Terms each time you access the platform.
